Brief Company Description
BTYH Bad Toys Inc. is a company that manufactures and sells Harley-Davidson® type, V-twin motorcycles from component parts; maintains a motorcycle customizing and servicing operation and stocks premium motorcycle accessories, parts, customizing items and apparel related to Harley Davidson motorcycles. Bad Toys Inc. markets its custom manufactured V-twin motorcycles on a national basis, initially through its present facility in Kingsport Tennessee., through Internet exposer and in the future via a catalog to be distributed nationally. The company projects the opening of nine additional outlets during the next five years of operation.
On June 29, 2004, Bad Toys Inc. announced it has entered into a Letter of Intent to acquire the majority interest in American Eagle Manufacturing Company, Inc. Bad Toys and American Eagle hope to enter into a definitive agreement by July 31, 2004, pursuant to which Bad Toys expects to acquire approximately 80 percent of American Eagle's issued and outstanding common stock. The purchase price will be paid in cash and by issuance of promissory notes and Bad Toy's common stock. The acquisition of American Eagle includes its subsidiaries, American Eagle Corp. and American Eagle Motorcycles Co., the manufacturing and marketing divisions for motorcycles and FunKarts.
Upon completion of the acquisition, Bad Toys will not only increase its gross assets by approximately $3 million but will also increase its clientele and its market share.
Product Line
Bad Toys manufactures V-twin Harley-Davidson® type motorcycles from component parts in five basic styles for sale:
Options include high performance Twin Cams, Evo or Pan-Shovel engines, 4 speed, 5 speed or 6 speed transmissions, and ignition systems. A choice of frames will be available for softtail, swing arm or rigid erection and narrow glide, wide glide or springer front ends. All production bikes have a 180 wide tire configuration and the customer has a wide variety of fenders and dress to choose from. Bad Toys emphasizes bolt on upgrades like billet grips, pegs, mirrors chrome bolts and custom seats. In addition to maintaining an extensive inventory of high-demand upgrade parts, we provide immediate installation service so that the customer can drive out on his or her new , improved bike. We do offer a complete ground up custom design package that incorporates all the customers desires.
Custom bike builders certainly seems to be gaining in popularity thanks inpart to those well-known cable TV programs. Harley is still the king but for the personal "custom" and sometimes radical touch bikers are turning to the custom builders. Surely companies have tried and failed but there are some that will surely make an impact. Bad Toys has some nice looking products --- as mentioned above --- their products are displayed through Internet exposer and in the future via a catalog to be distributed nationally. The company projects the opening of nine additional outlets during the next five years of operation. If Bad Toys maintains and completes their objectives the company - unlike others - could stick around for sometime.
