Chairman Rusbek Bisultanov, of The Sahara Group, announced today that a protocol has been signed with the Ukraine government to assist in the development of an energy independence program. Sahara will be part of a committee that will study and recommend changes and improvements in Ukraine's oil and gas industry as well as work in-country rehabilitating and developing fields through its partner EGPI/Firecreek Inc. (OTCBB: EFCR).
Bisultanov signed the protocol June 24, 2005, and returned to the Ukraine last week to finalize details of the agreement. Also signing was Plachkov Ivan Vasilievitch for the Ukraine Ministry of Fuel and Energy, and Matolitch Roman Mikhailovitch of Neftegaz Ukrainy.

Sunrise Energy Resources, Inc. (OTCBB:SEYR), announces the completion of its storage facility, completion of the repairs and workovers on Well #3 and commencement of drilling of Well #21.
On or around May 31, 2005 Esko-Pivnich, the Company's wholly-owned operating subsidiary completed the construction of a brand-new storage and separation facility with a total storage capacity of approximately 200 tons. The new facility commenced operations on or around July 15, 2005. The new facility would enable to significantly decrease the Company's operating expenses, resulting from reduced fees that were previously paid to Okhtirkaneftegaz, the state-owned oil&gas company for similar services. In addition, the launch of the new facilities will enable the Company to reduce crude losses during extraction, separation and storage.
The Company entered into an agreement with Chernigivneftegazgeologia, a Ukrainian oil&gas engineering contractor to drill a new production Well #21. The anticipated construction costs of around US$1.2 million are expected to be financed out of the operating cashflow, vendor loans and bank loans.

The host unit at Ramstein Air Base is the 86th Airlift Wing (AW), whose mission is the operation and maintenance of airlift assets composed of C-130s, C-9s, C-20s and C-21s throughout Europe, Africa and the Middle East. The 86th AW Commander also serves as the Kaiserslautern Military Community commander. Also residing at Ramstein is the 435th Air Base Wing (ABW) and the 38th Combat Support Wing (CSW). The 435th ABW mission focuses on base support responsibilities within KMC, while the 38th CSW provides support to Geographically Separated Units (GSUs) throughout Europe. The 435th ABW and 38th CSW Commanders both also serve as the KMC deputy commanders. In addition, Ramstein is a North Atlantic Treaty Organization (NATO) installation, with its population comprised of Canadian, German, British, French, Belgian, Polish, Czech, Norwegian, Danish and Dutch forces along with U.S. troops. Funded by a Prototype Development/Testing/Evaluation Grant by the Center for Commercialization of Advanced Technology (CCAT) awarded in September 2004, EFP conducted a study of its nano-enhanced filter media. The study, which included comprehensive testing, was completed in May 2005. The company subsequently reported test results which proved the efficacy of its filter media -- enhanced by licensed technology which employed nanoparticles -- to eradicate five different pathogens or contaminants: (1) Staphylococcus aureous, a bacteria most common in infections in hospitals and community infection; (2) K. Pneumonia, a bacteria most commonly recognized as an infection in the lungs; (3) Bacillus subtilis, a bacteria found in dirt, such as anthrax; (4) Aspergilus Niger spores, fungi commonly recognized as black spore mold; and (5) Trichophyton mentagrophyte, a fungi that acts as a parasite. One of the nanoparticles employed in the filter media eliminated all of the contaminants within 30 seconds.

Anizei has reported to the Company that Shopperwiz had sales in excess of $9 million in 2004 and $7 million in 2003. The transaction is subject to the execution of a definitive agreement, mutual due diligence reviews by the Company and Anizei and a monthly minimum sales requirement by Shopperwiz of $400,000 for two successive months.

Gulf Coast Oil & Gas Announces 3 for 1 Forward Stock Split

Secured Digital Expects Revenue to Grow by 18% in Second Quarter; Chairman Announces Plans to Retire Preferred Issue
Secured Digital Applications, Inc. (OTCBB:SDGL) today released its preliminary revenue forecast for the second quarter of 2005 of $7.6 million, an increase of 18 percent over the first quarter of 2005. The company also announced that CEO and Chairman Patrick Lim has informed the board of his intention to convert 100,000 shares of the company's Series A preferred stock into common in order to reduce dividend payments and improve net income to shareholders.
The company's revenue forecast is a 48 percent increase over the second quarter of 2004. For the six months ended June 30, 2005, the company's revenue is estimated at $14 million, an increase of 47 percent over the comparable period in 2004. The Company is scheduled to report its official results before August 14.
Income from continuing operations was forecast at $184,000 for the second quarter and $351,000 for the first six months. The company said that it had accrued $175,000 for the payment of dividends to preferred stockholders, including Lim. Net income to shareholders is expected to be $9,000.

Surge will have the option to drill another well within 60 days after the rig release of the test well in exchange for 50% of Deep Well's and Northern's working interest in the section of land on which the second option well is located and five additional sections. For a period of two years (the 'Earning Period'), Surge will have the option to drill additional wells and earn 50% of Deep Well's and Northern's working interest in various sections. This can continue until Surge has drilled 10 wells, at an estimated cost of U.S. $ 15,000,000, earning up to a 40% undivided working interest in the 63 sections in the Sawn"

American International Industries Files a Lawsuit Against Orion HealthCorp, Inc.
American International Industries, Inc. (OTCBB:AMIN) today announced that it filed a lawsuit on July 12, 2005 in the 80th Judicial District Court of Harris County, in Houston, TX against Orion HealthCorp, Inc., formerly SurgiCare, Inc., (American Stock Exchange 'ONH') and Brantley Capital Corporation (NASDAQ:BBDCE), Brantley Venture Partners III, LP and Brantley Venture Partners IV, LP ('Brantley') and several of their officers and directors alleging common law fraud, stock fraud, misrepresentation, civil conspiracy and violations of the rules of the American Stock Exchange.
The lawsuit alleges that material and intentional misrepresentations were made to AMIN by the defendants regarding the financial condition of the merger parties, and other material misrepresentations for the purpose of inducing AMIN to convert its $4,500,000 face value class AA convertible preferred stock into 875,000 shares of common stock, adjusted for a 1 for 10 reverse in connection with a merger transaction between SurgiCare, Inc. and companies owned and/or controlled by Brantley.

iBasis Eliminates All of its Secured Bond Debt; $19.9 Million of Secured Notes Convert to Equity
iBasis, Inc. (OTCBB: IBAS), a leader in international long distance, VoIP, and prepaid calling cards, today announced that $19.9 million of the Company's debt has converted to equity through negotiated agreements with noteholders. Overall, the notes have converted into approximately 10.8 million shares of iBasis common stock at the original conversion price of $1.85 per share.
The negotiated conversions consist of $19.9 million of the Company's 8% Secured Convertible Notes due 2007. The Company paid premiums to encourage early conversion in the amount of $1.2 million in cash, which will be charged to results of operations in Q3 2005. The overall reduction in the company's debt will result in total annual savings on future interest payments of approximately $1.6 million, and adds approximately $19.9 million in stockholder equity, excluding premiums and transaction costs.
'After years of carrying a high level of debt that weighed heavily on our business, we have achieved a major milestone in eliminating all of our secured bond debt,' said Ofer Gneezy, president and CEO of iBasis. 'In addition, our remaining long term debt, now $33 million, is convertible at $1.85 and is not due until 2009.'

NEW YORK, July 7, 2005 (PRIMEZONE) -- VIANET Direct, Inc. has reached a preliminary agreement with VIANET Technology Group Limited (OTCBB:VTGL) pursuant to which the parties anticipate that VIANET Acquisition Corp., a newly formed subsidiary of VIANET Technology Group Limited, will merge with and into VIANET Direct, with VIANET Direct as the surviving corporation. The parties anticipate that VIANET Technology Group Limited will issue an aggregate of approximately 21,000,000 shares of its common stock on a fully diluted basis to the holders of VIANET Direct's issued and outstanding common stock, warrants and stock options. Subsequent to the merger, VIANET Direct anticipates that its stockholders on the closing date will own approximately 78% of the common stock of VIANET Technology Group Limited on a fully diluted basis.
