AMSF.OB - Full Company Description | Reuters.com: "Full Description" Aames Financial Corporation, formed in 1991, is a consumer finance company primarily engaged in the business of originating, selling and servicing mortgage loans collateralized by single-family residences through its subsidiaries. The Company's principal market is borrowers whose financing needs are not being met by traditional mortgage lenders for a variety of reasons, including the need for specialized loan products or credit histories that may limit such borrowers' access to credit. The residential mortgage loans originated by Aames, which include fixed- and adjustable-rate loans, are generally used by borrowers to consolidate indebtedness or to finance other consumer needs, and, to a lesser extent, to purchase homes. Mortgage loans originated by Aames are extended on the basis of the equity in the borrower's property and the creditworthiness of the borrower. The Company originates loans through its retail and broker production channels. As of June 30, 2003, Aames operated 91 retail branch offices, four regional broker offices and two National Loan Centers throughout the United States. Its retail channel produces loans through its retail branch network and through the National Loan Centers, which produce loans primarily through affiliations with sites on the Internet. Its broker channel produces loans through account executives working throughout the United States (including purchasing a limited amount of closed loans from mortgage brokers on a continuous or flow basis) and by sourcing loans through telemarketing and the Internet. During the year ended June 30, 2003, Aames originated $4.4 billion of mortgage loans. As a fundamental part of its business and financing strategy, Aames sells its loans to third-party investors in the secondary market as market conditions allow. During the year ended June 30, 2003, Aames sold $4.5 billion of loans. The Company's servicing portfolio consists primarily of mortgage loans serviced for others on an interim basis, which includes loans sold where servicing has not yet been transferred and loans held for sale, and, to a lesser extent, loans securitized prior to the year ended June 30, 2000, for which it retained servicing. During the year ended June 30, 2003, Aames sold for cash the servicing rights on the mortgage loans in the securitizations it closed during those periods. The Company's Technologies division offers a network convergence solution for voice and data in Voice over Internet Protocol (VoIP) communications technology and holds two foundational patents in the VoIP space. Continued below Telecommunications The Company's Telecommunications segment consisted of WorldxChange, certain assets of RSL and Transpoint. WorldxChange initially consisted primarily of a dial-around product that allowed a customer to make a call from any telephone by dialing a 10-10-XXX prefix. WorldxChange uses commercial agents, as well as a network of independent commission agents recruited through its MLM programs to attract and retain customers. Independent agents are non-employee sales people who market and sell Acceris products and services and are compensated through commissions and other incentives. Starting in the fourth quarter of 2003, Telecommunications began to offer local communications products to its residential and small business customers. The service will be provided under the terms of the Unbundled Network Element Platform authorized by the Telecommunications Act of 1996 and will be available in New York and New Jersey initially, expanding to other markets throughout the United States. The Telecommunications division competes with Talk America, Ztel, AT&T, Sprint, Primus, MCI WorldCom and Verizon. Technologies The Technologies division owns four patents and utilizes the technology supported by those patents in providing its proprietary software solutions. The Company has licensed portions of that technology to third parties on a non-exclusive basis. In addition, Acceris also has several patent applications pending before the United States Patent and Trademark Office and other such authorities internationally. The division remains focused on delivering solutions for voice and data services to its partners and customers, while launching a strategy to realize value from its patents through licensing. Acceris offers a solution for companies to reduce telecommunications costs and/or to enter the enhanced communications market. Acceris markets its voice and data services and solutions and licenses its enhanced services platform domestically and internationally to organizations that wish to offer voice services without incurring high development costs.
